Signing Stars Pty Limited (“Signing Stars”)
Terms and Conditions for Wholesalers (Purchasers)

1.    Minimum  order
Signing Stars will only accept orders where the order is for five (5) or more pieces of a product.

2.    Prices
a.    Prices displayed on the Signing Stars website are inclusive of GST.
b.    Listed prices and delivery charges are subject to change without notice.
c.    All product prices exclude delivery costs and insurance costs.

3.    Payment
a.    All orders must be paid for at the time of submitting your order.
b.    Payment may only be made by:
i.    PayPal; or
ii.    Electronic Funds Transfer (EFT) to our bank account, detailed in our Tax Invoice and using the order number provided on check out.
iii.    No goods will be dispatched for delivery until payment is cleared into the Signing Stars account.

4.    Delivery
a.    Signing Stars  will take all reasonable steps to pack and dispatch your order within 2 business days of receiving your order.
b.    Postage costs and terms are set out in the Postage Information Schedule at the foot of these terms and conditions.

5.    Passing of Risk
Risk in the goods will pass to you upon the goods being dispatched by or on behalf of Signing Stars into the hands of Australia Post or any other provider of delivery services.

6.    Insurance
Signing Stars will not insure the Goods beyond the point of dispatch  to Australia Post or other delivery service. Insurance for loss or damage in transit beyond this point is the purchaser’s responsibility unless Signing Stars is expressly instructed in writing to affect insurance cover on behalf of the purchaser and this will be at the purchaser’s cost.

7.    Cancellations
An accepted order cannot be cancelled except with Signing Stars consent.  All costs incurred up to the date of cancellation including a 10% handling charge will be charged to the purchaser and deducted from the payment made on order and the balance will be refunded to you.

8.    Returns
Subject to clause 9 any defects in the delivered goods must be reported to us in writing within 5 days of receipt. Goods are not to be retuned until we have been advised in writing.

9.    Warranty
Signing Stars warrants that its products will be fit for purpose and of acceptable quality for a period of 3 months from the date of invoice and when the goods are used in conditions under which such goods are ordinarily used. If the goods are defective they will be repaired or replaced free of charge on return to Signing Stars within the warranty period. Upon receiving the goods and agreeing that the defective claims are substantiated Signing Stars will reimburse you your reasonable costs on returning and at our option the goods will be either replaced or refunded.

10.    Limitation of liability
a.    Subject to clause 10.b. and to the extent permitted by the Australian Consumer Law and relevant state legislation, the sole obligation of the Signing Stars under this agreement is to use its best endeavours to provide the goods or to repair the goods or repair or replace (at Signing Star’s’s discretion) any part of a good which is found to be defective during the period of warranty in clause 9 and in no event shall Signing Stars be liable for any other claims or damages including, but not limited to, claims for faulty design, negligent or misleading advice, damages arising from loss of profit or use of the goodss, and any indirect, special or consequential damages or injury to any person, corporation or other entity.

b.    If a good is supplied to you other than as a consumer of that product or the product is not ordinarily acquired for personal, domestic or household use or consumption, then pursuant to paragraph 64A of the Australian Consumer Law and similar provisions of relevant state legislation our liability is limited to the payment of an amount equal to the lowest of:

i.    The cost of replacing the goods or supplying equivalent goods;
ii.    The cost of repair of the goods;
iii.    The cost of having the goods repaired or replaced.

11.    Warranty by purchaser
You warrant that you are purchasing the products for the sole purpose of resale and not for consumption.

12.    Resale through approved outlets
The Purchaser may only sell Signing Stars products through the retail store that the purchaser listed in its initial application to Signing Stars and at the address given. Sales through other outlets, websites and other online sales must be approved by Signing Stars in writing and such approval will not be unreasonably withheld.

13.    Copyright and Images
The Signing Stars Website (www.signingstars.com.au) is owned by Signing Stars and subject to copyright. If a purchaser would like to use any of Signing Star’s images for promotional purposes the Purchaser shall request permission to do so in writing. Any permission granted shall be at the absolute discretion of Signing Stars and on any terms required  by Signing Stars.

14.    Retention of Intellectual property
Signing Stars asserts its legal and moral rights to the intellectual property, whether registered, registrable or not and whether within the Commonwealth of Australia or elsewhere, contained in the goods.  The sale of the goods to you does not constitute a sale of, or a licence to use, the intellectual property in the goods.

15.    Samples
Any modifications made at the request of the purchaser shall be at the purchaser’s costs and samples cannot be returned for credit. All modifications remain the property of Signing Stars.

16.    Privacy Policy
Any personal information that is  provided to Signing Stars including name, address, telephone number and email address will be treated confidentially and will not be released, sold or rented to any entities or individuals outside of Signing Stars. Signing Stars does not collect or record any credit card details provided when purchasing products from the signingstars.com.au website. 17.    Wholesale postage information
Signing Stars will attempt to package and send all orders within 2 business days of receiving the order and payment. (Subject to the availability of stock)
All orders will be packaged in boxes for protection.

Postage is calculated using Australia Post shipping calculator. The postage cost is based on size, weight and the destination postcode. Cost will be displayed before checkout confirmation.

Orders can be registered, for  $2.95. Signing Stars recommends this option which includes guaranteed tracking. Standard delivery times apply. Up to $100 insurance cover (included) and add an extra $1.30 for every $100 after that. Signature required on delivery.

Loss and damage in transit:
Signing Stars takes great care in packaging all orders and Australia Post is a reliable mailing service. However, unfortunately sometimes mishaps can occur. Should a package be delayed, arrive damaged or not at all, please contact Signing Stars immediately in writing so we can discuss the issue. Signing Stars will not be held responsible for missing orders if you do not choose the registered post option.
Please note Signing Stars will not be held accountable for items that are damaged during transit and all risk passes to the customer upon lodgement at Australia Post. We will however assess each matter on a case by case basis. Note insurance is available through registered post, which Signing Stars strongly recommends.
